01 Scope of Engagement & Professional Standards
NorthBridge CPA conducts all professional services in accordance with Canadian Generally Accepted Standards, Accounting Standards for Private Enterprises (ASPE), International Financial Reporting Standards (IFRS), and the Rules of Professional Conduct promulgated by CPA Ontario and the Chartered Professional Accountants of British Columbia (CPABC).
The specific scope, deliverables, reporting timelines, and fee parameters for each engagement are defined in a separate written Engagement Letter signed by the client and an authorized designated CPA of NorthBridge CPA.
02 Client Responsibilities & Full Disclosure
The preparation of financial statements and tax filings relies entirely on the accuracy, completeness, and timeliness of information provided by the client. Client management retains ultimate responsibility for:
03 Tax Filings & Government Deadlines
While NorthBridge CPA assists clients in meeting statutory tax filing deadlines, electronic submission to the Canada Revenue Agency (CRA) or Internal Revenue Service (IRS) can only occur after receiving signed authorization forms (e.g., T183 for individuals, T183CORP for corporations).
Important Filing Authorization Mandate
Client records and signed authorization forms must be delivered to our office at least 15 business days prior to statutory tax deadlines to guarantee timely submission and avoid CRA late-filing penalties.
04 Billing & Payment Terms
Professional fees are calculated based on professional seniority and staff hourly rates, the complexity of the engagement, and specialized technical requirements. Invoices are issued upon completion of engagement milestones or monthly on progress accounts.
Payment terms are strictly Net 30 days from invoice date. Overdue accounts are subject to an interest fee of 1.5% per month (18% per annum). NorthBridge CPA reserves the right to suspend ongoing professional services on accounts exceeding 60 days overdue.
05 Working Papers & File Ownership
All tax planning memoranda, calculation models, and internal working files created by NorthBridge CPA remain the sole intellectual property of NorthBridge CPA. Final deliverables (such as signed compilation reports, financial statements, and filed tax returns) are owned by the client upon full payment of account balances.
06 Limitation of Liability & Standard of Care
NorthBridge CPA carries professional liability insurance in full compliance with CPA Ontario and CPABC requirements. To the maximum extent permitted by applicable Canadian law, the aggregate liability of NorthBridge CPA, its principals, and employees for claims arising out of any engagement shall be limited to the total professional fees paid by the client for the specific engagement giving rise to the claim.
07 Secure Portal & E-Signatures
Clients agree to utilize our secure client portal for transmitting confidential financial data, T4/T5 slips, and signed tax authorizations. Electronic signatures executed via our verified digital signature platform carry legal validity in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and provincial electronic commerce legislation.
8. Governing Law & Jurisdiction
These Terms of Engagement and all professional relationships between NorthBridge CPA and its clients are governed by and construed in accordance with the laws of the Province of Ontario and the Province of British Columbia, and the laws of Canada applicable therein.
